Yulchon successfully advised Environmental Systems Research Institute, Inc. (ESRI) on the acquisition of Sundo SP, Inc. through its subsidiary ESRI Korea, Inc.
 

This transaction involved (i) the sale of shares in Sundo SP held by ESRI to its old Korean JV partner, Sundosoft; (ii) the acquisition of Sundo SP's business by ESRI Korea, Inc., which was newly established as a joint venture between ESRI, Inc. and its new Korean partner; and (iii) a loan of purchase funds from ESRI, Inc. As a result, the transaction entailed various issues such as related party transactions under local and international tax law, director transactions with the company, the transfer of individual property and the establishment of security interest over movables and claims.
 

In particular, the related-party transaction issue arising from a foreign investor's acquisition of business through a joint venture company with a Korean partner, from a joint venture company where the foreign investor participated as equity holder was thoroughly reviewed.
