Yulchon Advised Vestas Asset Management on its Investment into Hotel G Located in San Francisco, USA

Yulchon advised a private fund established by Vestas Asset Management (the “Fund”) on a transaction by which the Fund invested in a certain property known as Hotel G located near the Union Square in San Francisco through a US REIT and taxable REIT subsidiary (“TRS”) and acquired a 49% membership interests in each of 386 Geary Real Estate, LLC (which holds title to Hotel G) and 386 Geary Operator (the operating company of Hotel G) (the “Transaction”).
For the Transaction, Yulchon provided comprehensive legal advice to the client, including those relating to the investment structure, assistance with the offshore financial company investment report, review of various transactional documents including the Membership Interest Purchase Agreement, 386 Real Estate REIT, LLC Agreement and Asset Management Agreement, as well as providing tax advisory services.
