Key Elements and Implications of FSC’s Regulatory Improvements for M&As

On February 6, 2024, the Financial Services Commission (the “FSC”) held a meeting on improving regulations on M&A activities and introduced a set of measures aimed at aligning Korea’s M&A regulations with global standards to bolster investor protection (the “M&A Measures”). The FSC explained that the M&A Measures build upon the “Plan to Facilitate Corporate M&A Activities,” which was announced last May to address problems within the domestic M&A market, and have been developed with input and insights from various stakeholders, including industries, investors, and private experts. The FSC also added that these measures underscore its policy efforts to promote the government’s initiative to strengthen the foundation of the domestic capital market and foster a culture that prioritizes shareholder value.
