Advised STIC Investment in Its Co-Investment with CJ CheilJedang Acquiring a Brazilian Soy Products Manufacturer

Yulchon advised STIC Investment (“STIC PEF”) in its co-investment with CJ CheilJedang (“CJ”) acquiring a 90% equity interest and control of Sementes Selecta S.A. (“Sementes”). Sementes, based in Brazil, is the world’s largest producer of soy proteins. In this co-investment, CJ acquired a 56% and STIC PEF acquired a 34% equity interest in Sementes, respectively. The total transaction value was USD 321,011,505 (appx. KRW 365.8 billion).
With the successful consummation of the transaction, CJ acquired a new growth engine, which is expected to create synergies with its existing businesses, and STIC PEF strengthened its investment portfolio with a stable source of investment return.
Yulchon advised STIC PEF on all legal aspects of the transaction including advising on the transaction structure, addressing different interests between co-investors, and conducting legal due diligence.
