Yulchon Successfully Represented KTB on Its Acquisition of T-Center

Yulchon successfully represented KTB Investment & Securities and KTB Asset Management in connection with the acquisition of shares in an Austrian company that owed T-Center, a major commercial building located in Vienna, Austria. This deal was significant as it was the first real estate transaction conducted by KTB Investment & Securities and KTB Asset Management in Austria. The structure for the transaction involved an Austrian SPC acting as the holding company, another Austrian SPC as the purchasing entity, and a Luxembourg intermediary company. Funding for the purchase price was provided by a Korean trust fund and external senior financing. Many jurisdictions were involved, with different financings provided at each level, leading to a very complicated structure. Through detailed planning and close coordination among Korean, Luxembourg and Austrian counsel, Yulchon was able to successfully close the transaction.
