Lutronic’s acquisition of BioVision Technologies LLC

Yulchon advised Lutronic Korea, a Kosdaq listed company, on its acquisition of 51% stakes in BioVision Technologies LLC.
In this transaction, Yulchon advised Lutronic Korea in all aspects of the transaction, including the preparation and negotiation of the transaction agreements (which included the LLC Interest Purchase Agreement, Unitholders Agreement and other ancillary agreements) and assistance with respect to the closing of the transaction.
BioVision is a Colorado-based company which is engaged in the development and manufacturing of micro writing endoscopes. Through its acquisition of BioVision, Lutronic has secured a stable source of supply for micro wiring endoscope products, and will be able to secure a new business model in the market for neurological surgeons and proceed with its development of more advanced integrated endoscope systems. Further, Dr. Daniel Kim, one of the most renowned neurological surgeons in the United States, has entered into a consulting services agreement with Lutonic Inc., Lutronic’s U.S. subsidiary, and will support Lutronic’s efforts in developing and marketing more advanced laser-based surgical techniques.
