Advised Doosan Infracore in its sale of Montabert S.A.S

Yulchon"s M&A Team advised Doosan Infracore in its sale of Montabert S.A.S., a French company specialized in the manufacturing and sale of hydraulic drills and rock breakers, to Joy Global, a U.S. listed company. Montabert S.A.S., established in 1921, has a world-wide dealership network in more than 100 countries and is recognized as a leading company in its field for its technical capabilities and the quality of its products. While successfully procuring the funds necessary for its restructuring and future operational needs, Doosan Infracore also managed to maintain and further develop its existing hydraulic drill and rock breaker business through separately agreed commercial arrangements with Joy Global.

The transaction entailed a sale of a subsidiary that was engaged in a global business with various intercompany relationships with other Doosan Group entities. As such, it was imperative that existing intercompany relationships be carefully identified to determine those that needed to be maintained after the closing of the transaction. Additionally, because a substantial portion of Montabert"s revenue was generated from its sales to the Doosan Group and collaboration with Montabert has been a key part of the Doosan Group"s hydraulic drill and rock breaker business, the transaction needed to be structured so that the collaborative relationship between Montabert and the Doosan Group was properly reflected and maintained. As the lead legal counsel, Yulchon advised the client on all aspects of the transaction including the preparation and negotiation of the definitive agreements, regulatory issues and closing related activities. Utilizing its years of in-depth experience in advising clients in cross-border M&A transactions, Yulchon was able to contribute to the successful negotiation of the transaction while protecting the Doosan Group"s business needs.
