Yulchon
represented Keppel Investment Management (“Keppel”) in a transaction involving the
redemption of existing beneficiary certificates of a fund (the “Fund”), the issuance of new beneficiary
certificates of the Fund and the loan transaction for refinancing
(collectively, the “Transaction”).
The Fund
holds title to Yeouido Finance Tower in Seoul, Korea. Yulchon assisted in the
successful closing of the Transaction by (i) drafting the relevant definitive
agreements including the MOU, the agreement for acquisition and redemption of
beneficiary certificates, the agreement between collective investment
companies, the amendment to the trust agreement, notices and consent forms to
beneficiaries, service agreements and various other agreements relating to
leases in both Korean and English, (ii) providing tax advice including regarding
withholding and income tax, and (iii) issuing legal opinions relating to
compliance with Korea’s Financial Investment Services and Capital Markets Acts.
