Advised NICE Group on its acquisition of an 80% interest in BBS GmbH, a German wheel manufacturer

Yulchon advised NICE Holdings Co., Ltd. and its affiliates (the "NICE Group") on their acquisition of an 80% interest in BBS GmbH, a German wheel manufacturer which supplies aluminum alloy wheels to high-end European car manufacturers.
The purchase price was 27,400,000 Euros (approximately KRW 34.6 billion). This acquisition was strategically important for the NICE Group"s expansion into the European market. Additionally, it will allow the NICE Group to establish a platform to continue to expand its new materials business. BBS GmbH is expected to consider manufacturing wheels with new material being developed by NICE Group.
Working closely with German counsel Hoffmann Bottger, Yulchon conducted legal due diligence on BBS GmbH. Yulchon provided analysis and recommendations to the NICE Group on the identified legal issues and drafted and successfully negotiated the Share Purchase Agreement, the Shareholders Agreement and other transaction documents. Yulchon also assisted the NICE Group on closing, including making the relevant foreign exchange filing.
