Legal and Tax Advice regarding Investment in Amazon Fulfillment Center

Yulchon
represented IGIS Asset Management (“IGIS”) in a transaction by which a private
fund established by IGIS in Korea acquired the Amazon Fulfillment Center
located in Albuquerque, NM through a special purpose company incorporated in
the U.S. and obtained financing in the U.S. to procure the funds necessary to
purchase the site.
Yulchon
performed the legal review of the investment structure, reviewed the definitive
agreements to be executed in the U.S. including the Construction Agency
Agreement, the Purchase and Sale Agreement and the Lease Agreement. Yulchon
additionally drafted and advised on various Korean agreements for the
transaction, including the Trust Agreement and the Investment Agreement, as
well as preparing the foreign direct investment report documents. Furthermore, Yulchon
also performed tax advisory services by reviewing complicated tax issues
surrounding the transaction.
