| M&A Team Advises Samsung Electronics on its KRW 504.1 Billion Merger with Samsung Digital Imaging |
| Yulchon's M&A Team advised Samsung Electronics Co., Ltd. on its merger with Samsung Digital Imaging Co., Ltd. The deal closed on April 1, 2010 and is valued at KRW 504.1 billion (approximately USD 445 million). In addition to providing legal counsel on the merger itself, Yulchon also advised Samsung Electronics on the filing of business combination reports with American, European, and Chinese competition authorities. |

| Through this merger, Samsung Electronics obtained digital technology that is expected to create synergy with Samsung Electronics' existing business segments, such as TV and computers, and strengthen the company's position in the global digital imaging industry. |

| M&A Team Advises Hi Mart Co., Ltd. on the Issuance of KRW 300 Billion in Convertible Preferred Shares and the Attraction of KRW 100 Billion in Investment Through Subordinated Loans |
| Yulchon's M&A Team advised Hi Mart Co., Ltd., an affiliate of the Yujin Group, on a complex deal involving two inter-related measures: Hi Mart's issuance of approximately KRW 300 billion (about USD 265.5 million) in convertible preferred shares to private equity funds and financial institutions, including Nonghyup and Shinhan Bank; and Hi-Mart's efforts to simultaneously attract investment from Nonghyup and Shinhan Bank in the form of subordinated debt worth approximately KRW 100 Billion
(about USD 88.5 million). Yulchon successfully completed the deal on January 15, 2010. With this investment, Hi Mart improved its financial structure by reducing its debt ratio and laid the groundwork for a smooth IPO. Yulchon was responsible for every step in this complex deal from the execution of the MOU to the close of the deal. |

| M&A Team Advises Korea Flange Co., Ltd. on the Establishment of a KRW 67 Billion Joint Venture with Japan's NTN Corporation |
| Yulchon's M&A Team represented Korea Flange Co., Ltd. (KOFCO) on a joint venture with NTN Corporation, which is a Japanese bearing manufacturer. The resulting company, Seohan-NTN Bearing Co. Ltd., will manufacture wind bearings in Korea. The transaction, valued at KRW 67 billion (approximately USD 60 million), closed on January 27, 2010. Yulchon advised on the establishment of the joint venture as well as the filing of the business combination report with the Korea Fair Trade Commission.

| The M&A team at Yulchon advised Shinsegae I&C Co., Ltd. on the sale of its internet shopping mall business to Shinsegae Co., Ltd. The deal, valued at KRW 12.6 billion (approximately USD 11 million), closed on March 31, 2010. Through this deal Shinsegae I&C Co., Ltd. improved its business structure and secured future financial resources thanks to the influx of cash generated from the sale. |

| Finance Team Advises Shinhan Bank and Sinokor Merchant Marine on Ship Financing Deal for KRW 17.54 Billion |
| Yulchon's Finance Team represented Shinhan Bank, Sinokor Merchant Marine, and Sinokor Maritime on this ship financing deal for a used oil tanker, valued at KRW 17.54 billion (approximately USD 15 million). The deal is significant in that it was made at a time of depressed global ship financing and had to be closed in just one week. The U.A.E.'s state-run petroleum company substantially owned the ship, and our clients were concerned about losing the opportunity to purchase it at
the agreed price unless the deal was closed promptly. Yulchon finished the entire process within the one-week time frame. |

| The firm was responsible for establishing the structure of the ship financing, drafting the contracts, negotiating, transferring the funds, and physically transferring the ship. The deal was complicated by the fact that Yulchon had to coordinate with parties from various countries including Korea, the U.A.E., the Marshal Islands, Liberia, the U.K., the U.S., Singapore, and Brunei while maintaining the tight schedule. All of the parties anticipated that it would be difficult to
complete the transaction within just one week, but Yulchon structured the deal rapidly and worked around the clock to close it. The firm even planned for contingencies related to the physical transfer of the ship. |

| Finance Team Advises Jeju Air on Airplane Lease Deal |
| Yulchon's Finance Team represented Jeju Air in a deal to lease a Boeing commercial airplane. Yulchon advised on all aspects of the deal, from preparation of the lease agreement and report of foreign exchange to tax issues. Due to Jeju Air's tight flight schedule, the airline relied on Yulchon to arrange transfer of the aircraft within one week from the start of contract negotiations. |

| Yulchon is one of the few Korean firms capable of handling aircraft financing and is strengthening its presence in the market. The firm has now advised Jeju Air on the acquisition of all five of its Boeing airliners. The new airplane is expected to fly the international route to Japan. |

| Fund Team Advises Liechtenstein Royal Family-controlled LGT Bank on the Registration of an Offshore Fund with the FSS |
| Yulchon's Fund Team acted for LGT Bank in Liechtenstein (Cayman) Limited, a fund manager, and successfully registered with the Financial Supervisory Services ("FSS") an offshore fund called Crown Alternative Investments SPC (the "Fund") established in the Cayman Islands |

| This deal is significant in that the Fund is one of the few offshore funds registered with the FSS so far and has the most complex structure amongst them. In particular, the Fund has a three-level SPC structure in which the interests in the Fund are issued in series, and the end-investments are made in derivatives products selected by various trading advisors. With the registration of the Fund, LGT Bank is now free to offer or sell the interests in the Fund to professional investors
in Korea. |

| Yulchon, through close consultation with the FSS, explained this complex structure of the Fund to the FSS and provided satisfactory responses to the FSS's questions, enabling the successful completion of the registration. |

| Litigation Group's Supreme Court Victory in a Landmark Case brings about a Change in How Contracts with Government Agencies are to be Interpreted |
| Yulchon's Litigation Group successfully represented DOPCO before the Korean Supreme Court in a series of suits filed by the Korea Highway Corporation. |
|
| DOPCO and the Korea Highway Corporation entered into an agreement in 1991 that governed, among other things, the allocation of costs associated with transferring oil pipelines due to the extension of national highways. Under the terms of the agreement, DOPCO was to bear such costs. In 2002 and 2003, three lawsuits based on the contract were filed. |
|
| A fundamental issue in each of the lawsuits was the question of whether the agreement is still valid. The Korea Highway Corporation's claims were based on the assumption that the 1991 agreement was governed by private law. Yulchon contended that the agreement was based on public law and, under the principles of public law, the agreement became null and void when the Enforcement Regulation of the Road Act was amended. |

| After eight years of litigation, the Supreme Court sided with Yulchon's attorneys and ruled that an agreement between an administrative office and a private person should be governed by public law. Until this ruling, such agreements had been governed by private law. As a result, the Supreme Court dismissed the Korea Highway Corporation's appeal on March 11, 2010. |
|

| Intellectual Property Group Successfully Defends LG Electronics in a Design Right Infringement Case |
| Yulchon's Intellectual Property group successfully defended LG Electronics in a design right infringement case. Plaintiff, a packaging design and manufacturing company, filed an action against LG Electronics in the Seoul Central Court, claiming that LG's packaging for its Shine mobile phone infringed plaintiff's registered design right. Plaintiff sought an injunction and damages. Yulchon's attorneys effectively demonstrated the aesthetic difference between the two companies' packaging designs
and the trial court found for LG Electronics. On appeal, the Seoul High Court affirmed the judgment for LG. |

Yulchon's Finance Team advised Delphi's lenders on Korean law matters in connection with the stock sale and acquisition of five Korean companies to entities designated by the lenders, and the sale of a steering business of Korea Delphi Corporation to a General Motors Korea entity. |

| This restructuring transaction was successfully completed within approximately one month, a very short time period given the magnitude and complexity of the matter. In 2008 and 2009, Mr. Park was the President of the Korea Deposit Insurance Corporation. Mr. Park currently practices in the

| Dr. Sung Tae Son, a 28-year veteran of the Board of Audit Inspection (BAI), has joined Yulchon as a senior advisor. During his service with BAI, he was primarily in charge of audits on corporate management and finance, including special audits on the reorganization of public corporations, audits on public fund utilization, and audits on SOC construction projects. In 2003, Dr. Son became an auditor for the Industrial Bank of Korea, where he made significant contributions

| Korea's Ministry of Finance and Strategy has appointed Yulchon senior advisor Tae-Ik Chung as the Chairman of the Board of Directors of the Korea National Oil Corporation, a publicly owned company. The appointment took effect on February 5, 2010, and Mr. Chung will remain a Yulchon Senior Advisor while playing an active part in developing Korea National Oil Corporation's business. |

| Yulchon partner Soon Moo Soh was appointed Chairman of the Tax Law Association at the association's general assembly on February 20, 2010. The Tax Law Association publishes the academic journal "Research on Tax Law" three times a year. Its 900 members include professors, lawyers, certified public accountants, tax accountants, and others. |

| Dr. Soh was the head of taxation research at the Supreme Court of Korea and currently leads the Taxation Institute at the Seoul Bar Association. Dr. Soh has authored a number of publications on taxation including the popular textbook Tax Litigation, now in its 5th edition. |
